TERMS OF SERVICE

1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Aeilea Media Productions, LLC, a California limited liability company (“Aeilea Media,” “Company,” “we,” “us,” or “our”).
By purchasing services, booking a consultation, submitting an intake form, uploading materials, creating an account, or otherwise engaging our Services, you agree to be bound by these Terms.
If you do not agree, do not use our Services.
2. Scope of Services
Aeilea Media provides creative services including but not limited to:
Storytelling Strategy Sessions
Cinematic Production Packages
Editing Packages
Nonprofit Editing Packages
Consultations
Custom Production Services
Services are limited to those expressly described at the time of purchase or confirmed in writing.
3. Booking, Payment & Commerce
3.1 Online Purchases
Payments are processed via third-party payment processors (e.g., Stripe, PayPal) through Squarespace.
Payment is due in full at time of booking unless otherwise agreed in writing.
3.2 Account Responsibility
If you create an account, you are responsible for maintaining the confidentiality of login credentials and stored payment information. Aeilea Media is not liable for unauthorized access resulting from your negligence.
3.3 Chargebacks
Initiating a payment chargeback without first providing written notice and opportunity to resolve the dispute constitutes breach of these Terms. Aeilea Media may recover administrative and legal costs associated with improper chargebacks.
4. Refund & Cancellation Policy
Strategy Sessions
Cancellations require 48 hours’ notice for rescheduling. No-shows and late cancellations are non-refundable.
Production Services
Production bookings are non-refundable once pre-production begins. Rescheduling requires written approval and may incur additional fees.
Editing Services
Payments are non-refundable once editing work has commenced.
Digital and creative services are time-based and non-refundable once delivered or initiated.
5. Revisions
Unless otherwise specified, editing packages include three (3) rounds of revisions. Additional revisions are billed at the current hourly rate.
6. Client Responsibilities
Client agrees to:
Provide accurate information in intake forms
Deliver materials in usable formats
Review deliverables promptly
Secure all required legal clearances
Client is solely responsible for the legality and accuracy of provided content.
7. Media Releases & Legal Clearance
Client is solely responsible for obtaining and maintaining:
Talent and appearance releases
Minor releases
Property releases
Location permits
Music performance permissions
Regulatory approvals
Client represents and warrants that all required releases exist prior to filming.
Client must provide copies upon request. Failure to provide copies does not transfer responsibility to Aeilea Media.
Client indemnifies Aeilea Media and its collaborators for any claims arising from missing or defective releases.
8. Production Structure & Insurance
Production services may be performed by:
Aeilea Media Productions, LLC
Studio Keyani
Gnomebird Productions
Other contracted production partners
These entities operate as independent contractors. Nothing herein creates a partnership, joint venture, or shared liability.
Aeilea Media does not represent continuous production insurance coverage. Insurance may be arranged per project and confirmed in writing.
Client may be required to provide:
Certificate of Insurance
Equipment coverage
Location liability coverage
Client is responsible for safe filming conditions and venue compliance.
9. Equipment Risk Allocation
Client is responsible for damage caused by:
Unsafe filming conditions
Venue negligence
Attendees or staff actions
Misrepresentation of site safety
Equipment damage resulting from Client negligence may be billed to Client.
10. Intellectual Property & Licensing
Upon full payment, Client receives rights to the final delivered video.
Excluded materials include:
Raw footage
Project files
Behind-the-scenes materials
Third-party licensed music or stock
Third-party licensed materials are licensed for use within the specific project deliverable only and may not be reused independently.
11. Portfolio & Promotional Rights
Unless otherwise agreed in writing, Aeilea Media may use excerpts of completed work for:
Portfolio display
Showreels
Awards submissions
Educational presentations
Social media promotion
12. File Retention & Archiving
Raw footage and project files are retained for 30 calendar days following final delivery.
After 30 days, files may be permanently deleted without notice.
Archival storage is available only by separate written agreement and additional fee.
Re-delivery is not guaranteed after deletion.
13. Recording Consent
Strategy sessions and meetings may be recorded for project documentation. Participation constitutes consent to recording.
Recordings may not be redistributed for resale or training purposes.
14. No Warranty
Services are provided “as is.”
Aeilea Media makes no guarantee regarding:
Audience engagement
Platform performance
Algorithmic reach
Funding outcomes
Distribution acceptance
Festival selection
15. Indemnification
Client agrees to indemnify and hold harmless:
Aeilea Media Productions, LLC
Its members and contractors
Studio Keyani
Gnomebird Productions
Subcontractors
From claims arising from:
Copyright infringement
Defamation
Missing releases
Permit violations
Regulatory non-compliance
Misrepresentation of filming conditions
Improper use of deliverables
16. Limitation of Liability
To the maximum extent permitted by law:
Aeilea Media’s total liability shall not exceed the amount paid by Client for the specific service giving rise to the claim.
Aeilea Media shall not be liable for:
Lost profits
Business interruption
Reputational damage
Consequential or indirect damages
17. Force Majeure
Aeilea Media is not liable for delays or failure caused by:
Natural disasters
Equipment failure
Illness
Venue cancellations
Government restrictions
Internet outages
Third-party platform disruptions
18. Arbitration & Class Action Waiver
Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
Venue: Los Angeles County, California.
You waive:
Right to jury trial
Right to participate in class actions
Claims must be brought individually within one (1) year of the event giving rise to the claim.
19. Attorney’s Fees
The prevailing party in arbitration is entitled to reasonable attorney’s fees and costs.
20. Severability
If any provision is deemed invalid, remaining provisions remain enforceable.
21. Entire Agreement
These Terms constitute the entire agreement between the parties and supersede prior communications.
